Venture Capital & Private Equity
Members are frequently instructed in complex commercial and cross-border transactions and advisory related work. We work with both investors as well as investee company, including at all stages of investment. Advising a wide range of clients, from directors, shareholders and joint venture partners to ultra-high net worth individuals spanning a range of sectors including finance, technology, energy & natural resources, transport (aviation, shipping, and travel), insurance, and construction.
Corporate Finance
We are particularly adept at assisting corporations in their borrowing and lending legs as a part of a wider transaction or a standalone issue. We are able to advise on and assist in drafting enabling documentation across a range of jurisdictions particularly England, BVI, India, and the Middle East.
Mergers & Acquisitions
In addition to transactions resulting from corporate restructuring, investments (FDI) and involving Special Purpose Acquisition Companies, we also provide advice on inbound and outbound mergers and acquisitions, joint ventures, entrance strategy, and strategic alliances. We provide advice on the factors to be taken into account while planning, drafting, and negotiating mergers, acquisitions, and joint ventures to local and foreign investors, banks, promoters, and business owners. We can provide this guidance in a variety of fields, including intellectual property, competitiveness, regulatory issues, real estate, and labor and employment, due to our distinctive business model.
Corporate and Commercial Disputes
Members are routinely instructed in commercial and corporate disputes which are often high-value, sensitive, and almost always, of a cross-border nature.
We are particularly adept at identifying key issues in trade finance and corporate disputes particularly commercial Incoterms, rights and obligations arising out of such terms, shareholder rights, breach of director duties, rectification of register issues, schemes of arrangement, and valuation issues. Shipping and Trade Finance Disputes
We regularly provide advisory opinions as well as act in England, DIFC, and India for shipowners, charterers, and various P&I Clubs across a range of shipping disputes including LMAA, GAFTA, SIAC, LCIA, and ICC arbitral rules.
Banking and Financial Disputes
We have represented leading international retail and investment banks in a range of banking and financial disputes including but not limited to mis-selling of financial products, derivative disputes, futures arbitration, recovery of unpaid loans, and appointment of joint liquidators in various offshore jurisdictions against debtors.
Data Privacy
We have advised clients on Indian data privacy laws and procedures including handholding clients on implementing data storage and firewalling sensitive data.

About Us
Value Point was born out of necessity. Two young lawyers, working for some of the world's largest law firms that are ranked year after year in Chambers and Partners and Legal 500, decided to go independent and combine their litigation and transactional advisory experience to provide cutting edge solutions to a global and sophisticated clientele. With professional experiences, as lawyers, across the UK, UAE (DIFC and ADGM), Russia, Kazakhstan, United States, India, Singapore, Bahrain, Hong Kong, and China, we are happy to share our insights and skill set with a global audience in our core specialism areas across these jurisdictions.
PEOPLE
Kartik practices commercial law as a Barrister in England & Wales, British Virgin Islands (BVI), India, and DIFC Courts as a registered Part II practitioner at DIFC Courts. Kartik is able to represent parties in court and in arbitrations and is also able to provide advisory services across various areas such as commercial law, company law, insolvency, and banking and financial services. Kartik is also on the panel of arbitrators at the National Futures Association (US). Kartik has acted in complex commercial claims in the High Court in London, BVI, New Delhi, as well as international commercial arbitrations. Kartik also regularly appears before various regulatory authorities for licensing, regulatory approval and permission hearings for startups and SMEs and is particularly able to assist asset management firms in structuring investments, at various stages in their life cycle, and across mutliple jurisdictions. Currently, Kartik is assisting a US investment firm in setting up a crypto fund in an offshore jurisdiction. Kartik is also currently acting as counsel for a Singaporean engineering services company against a State Government in an ad-hoc commercial arbitration, UNCITRAL rules. Kartik is also currently advising a Chicago based private wealth management firm in setting up a new UK level fund with a view to make a first investor call in 2024. After completing pupillage at a Tier 1 commercial set in London, Kartik worked in the disputes teams of two Tier 1 offshore law firms in London. Kartik also teaches company law to undergraduate law students at the University of Cambridge. Kartik has an LLM in Commercial Law from the University of Cambridge and was the receipient of a gold medal in Banking and Finance and International Commercial Law at an undergraduate level.
Vivaswan is called to the Indian Bar, and is registered at Abu Dhabi Global Markets (ADGM). Vivaswan previously worked at a Tier 1 Indian law firm focusing on complex corporate transactions, project financing, debt financing, Private Equity deals across a range of industries. Vivaswan also worked in-house at a SWF funded neo-bank in India and assisted them in setting up their operations in India. Vivaswan regularly advises a range of US corporate entities on their data handling and investment strategies with respect to their Middle East and India operations. Vivaswan graduated from National Law School, Gujarat and is a receipient of Advocate Sanat P Mehta Gold Medal in Income Tax Law.
